Acceptance of Terms
By accessing this website or purchasing any product, you ("Purchaser") acknowledge that you have read, understood, and agree to be legally bound by these Terms.

Qualified Professional Representation
By placing an order, Purchaser represents and warrants that:
- Purchaser is at least 21 years of age.
- Purchaser is a trained laboratory professional or qualified researcher.
- Purchaser has knowledge of chemical handling and laboratory safety.
- Purchaser understands the experimental nature and potential hazards of research chemicals.
- Purchaser will use products solely for lawful in vitro laboratory research.
Company reserves the right to verify credentials and refuse service at its sole discretion.
Prohibited Uses
Purchaser agrees NOT to:
- Use products for human or veterinary applications
- Resell to unqualified individuals
- Repackage or relabel products for consumer distribution
- Market products as supplements, drugs, or cosmetics
- Use products in violation of federal, state, or local law
Assumption of All Risk
Purchaser acknowledges that:

- Long-term safety data may not exist.
- Improper handling may cause injury, illness, or death.
Disclaimer of Warranties (UCC Compliant)
No oral or written information shall create any warranty.
Limitation of Liability
Total liability shall not exceed the amount paid for the product giving rise to the claim.
Indemnification
Purchaser agrees to indemnify, defend, and hold harmless the Company, its owners, officers, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, costs, or expenses (including attorneys' fees) arising from:
- Misuse of products
- Violation of these Terms
- Violation of law
- Injury, illness, or death resulting from handling or use
This indemnification survives termination of sale.
No Liability for Misrepresentation
Company shall not be liable for any misuse, repackaging, relabeling, redistribution, or unlawful marketing conducted by Purchaser or third parties.
Order Refusal & Termination
Company may:
- Refuse or cancel any order
- Limit quantities
- Suspend or terminate accounts
- Report suspected unlawful activity
At its sole discretion without explanation.
Mandatory Arbitration & Class Action Waiver
Any dispute arising from purchase or use of products shall be resolved exclusively through binding arbitration conducted in the State of California, in accordance with the Federal Arbitration Act.
Purchaser agrees:
- To waive the right to a jury trial.
- To waive participation in any class action or collective action.
- That arbitration shall be conducted individually.
Governing Law
These Terms shall be governed by and construed under the laws of the United States and the State of California, without regard to conflict of law principles.
Severability
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms constitute the entire agreement between Purchaser and Company and supersede all prior communications.
